Mainstream Renewable Power is seeking an experienced in-house Company Secretary to provide strong corporate governance support to the business through the next stages of its growth and expansion.
This role requires a Company Secretary with a proven track record working with the Board, sub-committees, and senior organizational leaders as well as ensuring corporate governance compliance in a fast-paced multi-jurisdictional corporate group.
The ideal candidate will have reliable company secretarial expertise, be experienced in implementing corporate governance best practices and be a highly motivated self-starter.
The Company Secretary is the central point of contact for company secretarial-related matters for the Mainstream group and engages daily with shareholders, business units and other stakeholders in the provision of corporate governance support.
The responsibilities for this role include:
Providing end-to-end company secretarial and corporate governance support to the Mainstream senior management team, the board and sub-committees, including scheduling of meetings, developing agenda, preparation of minutes and resolutions, and following up on action points.
Coordinating all changes to Board and sub-committee memberships.
Preparation and maintenance of the annual board and committee timetable for Mainstream parent company and subsidiaries.
Working with Investor Relations team regarding the management of information for board and sub-committee reporting to include preparation of board packs, committee papers and shareholder presentations.
Holding the role of Secretary to the Audit Committee, Risk and Investment Committee, Nominations Committee and Remuneration Committee.
Providing company secretarial support for group transactions including new joint ventures, financial close of projects, trade finance facilities, share allotments, corporate guarantees, group reorganizations, mergers and acquisitions.
Safe-guarding and managing the use of the company seals.
Ensuring that statutory registers are maintained and kept up to date on a continuous basis and ensuring entities' filings are current and accurate.
Ensuring the corporate documentation database and group structure chart are updated at all times by the teams responsible.
Drafting and implementation of corporate governance processes and procedures for the group.
Incorporation and dissolution of Irish group companies and provision of central support to Mainstream’s overseas teams in relation to incorporations/dissolutions in the respective jurisdictions.
Providing guidance and corporate governance support to Mainstream’s domestic and overseas teams on an ongoing basis.
Assistance with the preparation of the Mainstream Annual Report on an annual basis.
Preparing share certificates, stock transfer forms and powers of attorney.
Dealing with confidential material in a professional and discretionary manner.
Knowledge and Requirements:
Minimum 8-10 years previous experience working in a Company Secretarial role essential.
Third-level qualification relevant to the role. Part or fully ICSA qualified.
Strong understanding of Irish company secretarial law and responsibilities, including management of statutory registers and CRO filings is essential.
Previous IPO experience or experience working for a publicly listed company is an advantage.
Excellent organizational skills and keen attention to detail is essential
Excellent communication, written and interpersonal skills is essential
Strong report writing skills essential
Previous experience working with overseas companies and corporate service providers is essential.
Proactive approach to work and ability to prioritise and handle a large workload under time constraints
Experience working with Microsoft Office suite essential.
Experience working with Admin control board portal is an advantage.
Previous experience with supporting key transactions such as the financial close of projects, new joint ventures and new market entry is an advantage.
