ABOUT THIS ROLE
At 3Degrees, we help organizations around the world to reduce their greenhouse gas emissions through renewable energy and decarbonized transportation solutions. Reporting to the General Counsel, the Corporate Transaction Counsel is a quintessential transaction and deal lawyer who will bring business and commercial expertise to our Legal Team. This role is an excellent opportunity to bring a combined skill of collaboration and a sense of urgency to assignments and fire up those with whom they work. Within a rapidly growing B Corp, you will also have the opportunity to support the evolution of our legal processes to deliver on our aggressive growth strategy that minimizes risk, maximizes opportunities and aligns with our values.
This is a full-time position with a preference for candidates in the eastern region of the US. Other locations will be considered for highly qualified applicants.
WHAT YOU’LL DO
As a member of the Legal Team, you will actively support and participate in performing the day-to-day legal operations of the Legal Department, including but not limited to the following:
ABOUT YOU
You are a strategic legal professional who values B Corp principles (even if working at a B Corp might be new to you). You excel at identifying and explaining legal and business risks and have experience in negotiating, drafting, and reviewing a vast array of transaction documents. You have the ability to render independent oversight of multiple corporate/cross-functional projects.
Values and operates with strong ethics, integrity, and accountability
Possess the ability to work independently and after the initial assignment from GC or internal clients, you will own and manage the project and the documentation drafting through to close or delivery to the client
Possess solid general corporate/transaction law experience, including experience with entity formation, contract negotiation, and extensive deal-flow/transactional experience in the renewable energy space, including but not limited to having negotiated and drafted:
(i) Special purpose entity structures, creation, and corporate governance/maintenance;
(ii) Renewable energy off-take agreements (PPAs, VPPAs, RNG, etc.) pre-definitive deal documents such as RFPs/RFIs, NDAs, LOIs, MOUs and Term Sheets
(iii) Corporate and project finance facilities (i.e., credit agreements. and security documents)
(iv) Project development documents (EPCs, feedstock supply, off-takes (PPAs, VPPAs, Nat Gas Sales, Services Agreements.) and O&M Agreements
(v) Structured post-closing debt transaction according to lender covenants and obligations
(vi) M&A transactions (stock/asset)
Significant experience with corporate governance.
Experience in or healthy familiarity with transactions in and applicable regulations for the environmental commodities, power, or renewable energy space, including trading contracts, policy, and federal and state regulation (e.g., RECs, VERs, AB32 and RGGI instruments, PPAs, vPPAs, EACs, RNG, LCFS and FERC market rules, CDP, RE100).
Ability to support and collaborate with outside resources and internal clients on matters related to employment law or non-business unit-related issues.
Experience with, and energized to operate in, a fast-paced, high-growth company
Exceptional project management, research, and writing skills, the ability to interpret and analyze complex transactions, and the ability to work in a team environment.
Excellent planning, organizational, and leadership skills.
Excellent written and verbal communication skills.
Advanced leadership skills to develop and implement new policies and procedures.
J.D. from a U.S. ABA-accredited law school.
At least 5- 7 years of professional legal experience
Prefer admitted in California or the ability to become registered as CA in-house counsel.
International experience is a plus.

You are a subject matter expert in all relevant statutory and regulatory requirements that impact our business and serve as one of the primary legal resources for all corporate contracting efforts.
You have established trusted and healthy working relationships with cross-functional stakeholders and effectively participate in process improvements that elevate how the Legal Team supports its internal clients.
