What are we looking for?
Mainstream Renewable Power is looking for an experienced Head of Commercial and M&A to join the LATAM platform to lead the Commercial and M&A activities in the region.
The successful candidate will have strong legal, technical, and/or commercial capabilities in solar and wind technologies (commercialization business and battery storage experience is an advantage). This candidate will lead the team responsible for originating, structuring, negotiating, and executing M&A transactions and analysing, and delivering commercial initiatives to enhance the value of Mainstream’s portfolio in LATAM. International experience is a distinct advantage.
The candidate must be a strong team player with high levels of self-motivation and excellent analytical and communication skills.
This role will report to the Global Head of Commercial for the Mainstream Renewable Power Group and work closely with external advisors and other internal teams, including the corporate Head of M&A and Partnerships and regional M&A teams. The role will be responsible for leading due diligence, market analysis and other transaction activities.
The Head of Commercial and M&A will also lead the development of new business opportunities, optimising the commercial arrangements and commercialising the pipeline for Mainstream Renewable Power’s portfolio of assets in the LATAM region. This candidate will be able to understand and assess risks and opportunities in a given market and/or technologies.
The successful candidate will be a senior manager with experience of preparing and presenting high quality materials to executive and board-level meetings.
They will contribute, and work with colleagues, to prepare and present investment cases on whether to pursue an opportunity, and on what basis. The role will be based in Chile; however, it will support the company’s LATAM markets and other markets as required. This role requires occasional international travel.
What challenges will you face?
Work closely with Group Head of Commercial and the GM and CFO LATAM to deliver M&A strategy.
Lead a team of Commercial and M&A Executives.
Assist in shaping and lead the execution of Mainstream’s Commercial and M&A strategy for the LATAM region.
Have a deep understanding of market dynamics in the Chilean market.
Lead initiatives and commercial negotiations to optimise and enhance the value of Mainstream’s portfolio including PPAs.
Lead the co-ordination and management of transaction processes from initial opportunity to deal completion, involving tight management of timelines, internal teams, external advisors, and documentation review.
Assess the pros and cons of the various opportunities and solutions offered through in-depth analysis of their business models and impact on company financials.
Detailed understanding of financial modelling and ability co-ordinate and direct dedicated financial modellers to design, build and maintain highly complex financial models that are able to prepare valuation and various scenario analysis.
Fully understand and participate in legal, financial and tax structuring of transactions to facilitate a seamless integration of the opportunity into the Mainstream group.
What knowledge do you require?
Minimum 10 years of experience in a legal, technical, or commercial role in the renewables industry.
Track record in originating and delivering relevant transactions: including joint development/ JV/partnership agreements, asset acquisition/divestment, M&A of companies, buying, financing and divesting wind & solar assets at different stages of development, construction, operations.
Knowledge of the players in the market and a strong understanding of the various mechanisms prevailing in the financing of renewable energy projects and companies.
Outstanding project management skills and ability to demonstrate being able to work on multiple projects at once.
Strong commercial acumen and experience of contract negotiations a requirement
Strong experience in due diligence process and legal documentations.
A keen interest in keeping abreast of commercial updates in the local and global renewable market.
Deep understanding of risk and value drivers in renewable projects and businesses.
Demonstrate ability to work in teams across different time zones.
Excellent presentation, verbal, and written communication skills in both Spanish & English.
Experience of gathering and utilising competitor/industry market knowledge, market evaluation and entering new markets is a distinct advantage.
