The Position

We are seeking a motivated Assistant/Associate General Counsel to join Uplight to continue to grow our legal team and help us achieve our ambitious goals for our business and the planet. As the company enters into its next stage of growth, this person will provide legal advice and support on a broad range of initiatives and will report directly to the Senior Vice President and General Counsel.
What you will contribute:
Data Privacy:
Lead the company's data privacy and protection efforts, ensuring compliance with global data protection laws, including GDPR, CCPA, and other relevant regulations.
Collaborate with cross-functional teams to implement data protection policies and practices, and support privacy standard practices for customer, employee, partner and vendor personal information
Respond to data breach incidents and manage the legal aspects of data privacy incidents and regulatory inquiries.
Contracts and Agreements (including SaaS / Technology):
Draft, review, and negotiate a wide range of corporate and technology-related agreements, including SaaS contracts, licensing agreements, partnership and innovation agreements, and complicated vendor agreements.
Provide legal counsel on complex software development, distribution, and licensing issues, and advise on compliance with industry standards and regulations related to software and technology agreements.
Collaborate with internal stakeholders to ensure contractual agreements align with business objectives.
Intellectual Property:
Help protect and manage the company's intellectual property rights, including patents, trademarks, and copyrights.
Compliance:
Play a key role in advising on and implementing controls, policies and processes to scale the business; stay up-to-date on relevant laws and regulations affecting the software industry.
Corporate Transactions:
Support and/or lead M&A transactions to gain in depth knowledge of the target’s business to enable the design and implementation of effective integration; support and/or lead corporate financing transactions.
Corporate Governance:
Assist on corporate governance matters, including board meeting materials, minutes, and related documentation, and other advice and support as requested by the Board.
Team Management:
Help lead and manage legal professionals, providing guidance, mentoring, and support to foster professional growth and development.
Employment Law Compliance
Ensure adherence to all relevant federal and state employment laws, providing expert guidance and support to HR and company leadership to maintain a compliant and inclusive workplace.
What you bring to Uplight:
Juris Doctor (JD) degree from an accredited law school
Active membership in the bar association of the state in which you practice law
Minimum of 8 years of relevant and meaningful experience, including in-house experience (SaaS preferred), with a focus on resolving a broad range of commercial transactions and advising on related privacy and data security issues
Proven experience / responsibility for data privacy
Understanding and experience in intellectual property, technology / licensing and general contract drafting and negotiation, corporate governance and corporate transactions
Strong leadership skills, along with excellent communication, negotiation, and problem-solving abilities
Curiosity and an ability to partner well with the business and work effectively in a fast-paced, dynamic environment
Bonus points:
Energy or Energy-Adjacent Industry experience
Software / Technology company in-house experience

Salary Range: $175,000 to $215,000
In accordance with the Colorado Equal Pay for Equal Work Act, the approximate annual base compensation range is listed above. The actual offer, reflecting the total compensation package and benefits, will be determined by a number of factors including the applicant's experience, knowledge, skills, and abilities, as well as internal equity among our team.
